A novation agreement is a contract between three parties that transfers both 1) the obligations and 2) the benefits of an existing contract from one of the existing parties to a new party. Novation agreements are typically used when one of the original parties to a contract wants to transfer their obligations to another party.
This can happen for various reasons. For example, when the employer engaged a design team before the contractor and wishes to novate them to the contractor, where a company is sold, or where a contractor is replaced.
For a novation agreement to be valid, all three parties must consent. Furthermore, the new party must be willing and able to take on the obligations of the original contract.
